Acquiree: Certain tangible and intangible assets of Trinity Warranty Corporation
Details: Kingsway Financial Services Inc. ("Kingsway" or the "Company") and its subsidiary, 1347 Capital LLC, announced today that the Company has finalized the purchase of certain tangible and intangible assets of Trinity Warranty Corporation ("Trinity"). Trinity, based in Lombard, Illinois, is a provider of warranty products and maintenance support to consumers and businesses in the heating, ventilation, air conditioning ("HVAC") and refrigeration industry. The tangible and intangible assets of Trinity are being acquired for total consideration consisting of cash and future contingent payments. Kingsway expects the business to be accretive to cash flows.

Kingsway Financial Services is a holding company. Through its subsidiaries, Co. conducts its business through the following three reportable segments: Extended Warranty, which is a licensed motor vehicle service agreement company and is a provider of after-market vehicle protection services distributed by credit unions in various states and the District of Columbia to their members; Leased Real Estate, which owns a parcel each of real property located in Texas and Louisiana; and Kingsway Search Xcelerator, which provides outsourced financial services and human resources consulting for short or long duration engagements for customers in various states and several countries.
