Acquiree: Ownership Interests in Northern Tier Energy LP (NTI)
Details: Western Refining, Inc. (NYSE:WNR) today announced that it has entered into a definitive agreement to acquire ACON Investments' (ACON) and TPG's ownership interests in Northern Tier Energy LP (NYSE:NTI) for a total consideration of $775 million. ACON and TPG will receive the distribution on the common units that Western has acquired with respect to the quarter ended September 30, 2013. As a result of this transaction, Western owns Northern Tier Energy's general partner and 35,622,500 limited partner units, or approximately 38.7% of Northern Tier Energy. The balance of the limited partner units will remain publicly traded. The transaction was signed and closed on November 12, 2013.

Western Refining is a holding company. Through its subsidiaries, Co. is a crude oil refiner and marketer of refined products. Co. has four business segments: refining, which operates refineries that makes various grades of gasoline, diesel fuel, jet fuel and other products from crude oil, other feedstocks and blending components; Northern Tier Energy LP, which process a range of light, heavy, sweet and sour crudes into refined products; Western Refining Logistics, LP, which owns and operates terminal, storage, transportation and wholesale assets; and retail, which operates retail stores and unmanned commercial fueling locations that sell various grades of gasoline and diesel fuel.
