Details: Banco Santander, S.A. ("Santander") and Webster Financial Corporation ("Webster") today announced that they have received the required approval from the Board of Governors of the Federal Reserve System for Santander's previously announced acquisition of Webster, the holding company for Webster Bank, N.A., a diversified U.S. retail and commercial bank. This follows the approval by the Office of the Comptroller of the Currency on June 12, 2026, and the authorization granted by the European Central Bank on July 21, 2026. The transaction is now expected to close on August 20, 2026.

Banco Santander is engaged in all kinds of activities, operations and services inherent to the banking business in general and permitted by existing legislation, and the acquisition, holding, enjoyment and disposal of all kinds of securities. Co.'s operating areas include: Europe, North America, and South America. Co.'s secondary segments include: Retail Banking, which covers all customer banking businesses; Wealth Management and Insurance, which includes the asset management business; and Santander Global Platform, which is comprised of its global digital services under a single business unit, as well as 50% of the results generated by these services in the commercial network.

Webster Financial Corporation is the holding company for Webster Bank, N.A. and its HSA Bank division. Co.'s segments include Commercial Banking, HSA Bank, and Consumer Banking. The Commercial Banking segment serves businesses with more than two million dollars of revenue through its commercial real estate and equipment finance, business banking, asset-based lending and commercial services, private banking, treasury management and other business units. The HSA Bank segment offers a comprehensive consumer-directed employee benefit and healthcare solution that includes health savings accounts, health reimbursement arrangements, flexible spending accounts, and commuter benefits.
